SGBC operates under a clear governance structure that ensures institutional credibility, operational integrity, and alignment with its official mandate. The Council is positioned within the official framework of bilateral business councils in Syria and Germany, granting it recognized official status. This status enables SGBC to serve as a trusted interlocutor with government authorities, regulatory bodies, and relevant organizations in both Syria and Germany. The governance structure ensures that the Council operates with the discipline and transparency expected of an institution with a recognized mandate.

SGBC's leadership is determined through a structured nomination process that ensures representation, expertise, and institutional credibility. Candidates for the Management Committee and executive positions are nominated based on their standing in the business community, their track record in bilateral economic cooperation, and their ability to advance the Council's mission. The nomination process is designed to be transparent, merit-based, and aligned with the Council's governance principles. Leadership positions are confirmed by the Management Committee and communicated to the membership and relevant regulatory bodies.

Governing Body (Board of Directors)
The Management Committee (Majlis Idara) is SGBC's principal governing body. It consists of senior officials and advisors who guide the Council's direction. The Committee oversees the Council's strategic direction, approves operational plans and budgets, ensures financial integrity, and provides guidance to the executive leadership. Committee meetings are held regularly, with formal documented minutes and resolutions maintained. The Committee's composition is designed to reflect diversity in the Syrian-German bilateral business landscape, including representation from key sectors, both nationalities, and different types of organizations (private companies, regulatory bodies, and professional services providers).

Funding & Financial Integrity
SGBC is funded through membership fees, event revenues, and service fees. The Council does not accept funding that could compromise its institutional integrity or impartiality. Financial activities are managed with principles of transparency, accountability, and compliance. All financial activities are reviewed by and reported to the Management Committee. The Council maintains separate accounts for operational and programmatic activities and issues regular financial summaries to the membership.
